Terms of Service

Version 1.0.0 — Effective March 28, 2026 — YOS Maritime Technologies

1. Service Scope

YOS Maritime Technologies ("YOS", "we", "us") provides the YOS Maritime Operating System ("Platform") — maritime vessel management software and related installation, configuration, and support services. The Platform is a management tool designed to assist with vessel operations. It is not a maritime safety system, navigation aid, or substitute for professional maritime judgment.

2. Data Ownership

All data entered into, processed by, or generated within the Platform remains the sole property of the vessel operator ("Customer"). YOS acts solely as a data processor in accordance with applicable data protection regulations (GDPR, ePrivacy Directive). Customer retains full ownership and control of their data at all times. Upon termination, Customer may export all data via the Platform's export functionality.

3. Server & Infrastructure Responsibility

The Platform is installed on hardware owned and maintained by Customer. Customer is solely responsible for: server maintenance, security updates, data backups, network connectivity, power supply, and compliance with applicable laws regarding data storage. YOS shall have no liability for data loss, corruption, service outages, or unauthorized access resulting from Customer's failure to maintain their infrastructure.

4. Data Migration

YOS shall use commercially reasonable efforts to assist with migration of Customer's existing data into the Platform. YOS does not guarantee that all data will be migrated completely, accurately, or in its original format. Data migration depends on the quality, format, and completeness of source data provided. Customer is solely responsible for verifying migrated data accuracy and maintaining independent backups.

5. Data Display & Completeness

The Platform displays data as provided by Customer and integrated data sources. YOS does not warrant the accuracy, completeness, or timeliness of any data displayed. Where data is limited by the Platform's architecture, certain data points may not be displayed or may be displayed in a modified format.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF DATA, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, DAMAGE TO EQUIPMENT OR VESSEL, PERSONAL INJURY, OR ENVIRONMENTAL DAMAGE. YOS'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Security

YOS implements commercially reasonable security measures including encryption, access controls, audit logging, and multi-factor authentication. YOS is not responsible for security breaches resulting from: (a) Customer's server or network configuration; (b) unauthorized modifications to the Platform; (c) Customer's failure to apply updates; (d) use of weak or compromised credentials.

9. Confidentiality

All vessel operations data, crew information, financial records, and compliance documentation are treated as strictly confidential. Unauthorized sharing, exporting, or reproduction of system data is prohibited. All exports contain digital watermarks identifying the user, vessel, and timestamp.

10. Remote Access & Monitoring

To provide maintenance, updates, troubleshooting, and support, YOS requires remote access to Customer's server. This includes: (a) remote connection via encrypted tunnel; (b) system performance monitoring; (c) GPS telemetry collection; (d) usage analytics; (e) software updates; (f) login for maintenance. All remote access is logged in the audit trail. Customer may disable remote monitoring via settings.

11. Intellectual Property

The Platform, including all source code, designs, algorithms, and trademarks, is the exclusive property of YOS Maritime Technologies. Customer receives a non-exclusive, non-transferable license to use the Platform for legitimate maritime operations management. Reverse engineering, decompilation, or unauthorized reproduction is prohibited.

12. Acceptable Use

Users agree to use the Platform solely for legitimate maritime operations. Prohibited: circumventing access controls, sharing credentials, using for illegal purposes, attempting to access other vessels' data, introducing malware.

13. Account Deletion

Users may request deletion via Settings. The account is immediately deactivated and personal data scheduled for permanent deletion after a 30-day grace period. During the grace period, reactivation is possible. After, deletion is irreversible.

14. Termination

Either party may terminate with 30 days written notice. YOS may immediately suspend access for: material breach, non-payment, license expiration, or illegal use. Upon termination, Customer retains ownership of all data and may export it.

15. Updates to Terms

YOS reserves the right to update these Terms. When updated, users will be required to review and accept the new version before continuing to use the Platform.

16. Governing Law

These Terms shall be governed by the laws of the Republic of Croatia. Disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, they shall be submitted to the competent courts in Zadar, Republic of Croatia.
